Terms of Service
Last updated: October 29, 2026
Agreement to These Terms
These Terms of Service ("Terms") are an agreement between you and Thriveific ("Thriveific", "we", "us"). They cover your use of the Thriveific website at thriveific.com, the web app, the iOS and Android apps, and the estimate, invoice, payment and signing pages that businesses send through Thriveific (together, the "Service"). Our Privacy Policy explains how we handle personal information and is part of these Terms.
If you use Thriveific for a business, you agree to these Terms for that business and confirm you have the authority to do so. If you don't agree to these Terms, please don't use Thriveific.
What Thriveific Is
Thriveific helps service businesses run one flow: write an estimate, send it as a proposal the client can accept and sign, then invoice and get paid, with every step tied to the client.
There are two kinds of people on Thriveific:
- Businesses: the owners and team members who sign up, create a workspace and send estimates, documents and invoices.
- Clients: the people a business works with, who open the private links the business sends them to read, accept, sign and pay.
When a business sends you an estimate, contract or invoice through Thriveific, that agreement is between you and the business. Thriveific provides the software. We are not a party to it, we don't provide the business's services, and we can't settle disagreements about the work, its price or a refund. Please contact the business directly.
Your Account
- You must be at least 18 years old to create an account.
- Give us accurate information and keep it up to date.
- Keep your password and any API keys safe. You're responsible for what happens in your account and in workspaces you manage, including what your teammates, and the apps or AI tools you connect, do there.
- Tell us right away at support@thriveific.com if you think someone has used your account without permission.
- The person who creates a workspace is its owner. Only the owner can manage its billing or delete it. Teammates can do what their role allows.
Your Content
You own your content. Your client records, estimates, proposals, contracts, invoices, documents, files, logos and business details ("Your Content") belong to you or your licensors.
The license you give us. You give Thriveific a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and send Your Content, only as needed to run the Service: for example, to save your records, build PDFs, email an estimate to your client, show the client their invoice and answer questions you ask the assistant. This license ends when Your Content is deleted from the Service, apart from backup copies kept for a limited time and copies already sent to the people you shared them with.
We don't sell Your Content, and we don't use it in our marketing without your permission.
Your clients' information. When you add clients and their details to Thriveific, you decide what to collect and how it's used. We handle it on your behalf and only to run the Service for you. You are responsible for having the right to collect it, for telling your clients how you use it where the law requires, and for answering their requests about it. If you need a data processing agreement for your clients' information, email us.
Your responsibility. You are responsible for Your Content and for making sure it's accurate and lawful, including prices, taxes, payment terms and anything the law requires a business to tell its clients. We may remove content or suspend a workspace if we reasonably believe it breaks these Terms or the law, or if someone reports that it infringes their rights.
Estimates, Contracts and E-Signatures
Thriveific lets a business send estimates that a client accepts online, and documents that a client signs online. What we record for each is described in our Privacy Policy, and the signing details are added to the completed PDF.
- By completing the acceptance or signing steps, you intend to accept or sign that document electronically. Electronic signatures can have the same legal effect as signatures on paper under laws such as the U.S. ESIGN Act and state laws based on the Uniform Electronic Transactions Act.
- The business is responsible for what its documents say, for whether they are enforceable, and for any disclosures, consent to electronic delivery or other formalities the law requires for its kind of agreement. The templates and samples in Thriveific are starting points, not legal advice. Have a lawyer review contracts that matter.
- Some documents can't be signed electronically in some places (for example, certain real estate, family or court documents). Don't use Thriveific for those.
Payments Between Businesses and Clients
Businesses can take payments from their clients through Thriveific using Stripe Connect.
- The business is the seller. A business connects its own Stripe account and agrees to Stripe's terms, including the Stripe Services Agreement. Client payments go to the business's Stripe account. The business is responsible for its prices, taxes, receipts, refunds, chargebacks and disputes, and for following the law and Stripe's rules.
- Fees. Stripe charges the business its own processing fees. Thriveific doesn't currently add a fee to client payments. If that changes, we'll tell businesses before it applies.
- Clients. When you pay a business through Thriveific, you pay the business, on Stripe's checkout page. Your card or bank details go straight to Stripe and never reach Thriveific. Ask the business about refunds or problems with the work.
- Getting paid. We don't guarantee that your clients will pay you, or pay on time. Collecting what you're owed, and following up when a payment fails, is up to you.
- We may pause payment pages for a workspace if we reasonably suspect fraud or a breach of these Terms or Stripe's rules.
The Assistant and AI Features
Thriveific includes an assistant that can look up and summarize your workspace's data, read files you attach, and suggest changes, using an AI model from a third-party provider described in our Privacy Policy.
- AI can be wrong. Check the assistant's answers, and the figures in anything it drafts, before you rely on them or send them to a client.
- The built-in assistant can't change anything by itself. A change it suggests only happens when a member taps to save it, and sending or deleting asks for a second confirmation.
- Don't use the assistant for legal, tax or financial advice, or to make decisions about people that have legal or similarly significant effects on them.
API Keys and Connected Tools
Workspaces can create API keys and connect outside tools, including AI agents that use Thriveific over the Model Context Protocol (MCP). The assistant's confirmation steps don't apply to these tools: they can do whatever the key allows, including sending emails and changing or deleting records, without asking you first. You are responsible for every action taken with your keys and connected tools as if you took it yourself. Keep keys secret, give them only to tools you trust, and revoke a key you no longer use.
Acceptable Use
Don't use Thriveific to:
- break the law, or send false, misleading, fraudulent, infringing, hateful or harmful content;
- bill people for goods or services you don't provide, or take payments for illegal goods or services, or for anything Stripe prohibits;
- send spam or phishing, or email people who haven't done business with you;
- impersonate a business or person, or send documents for a business you don't represent;
- store payment card numbers, government ID numbers, health information or other sensitive data in notes, documents, files or assistant chats (payments go through Stripe);
- access other workspaces' data, or get around security, plan limits or usage limits;
- scrape, overload or disrupt the Service, or reverse engineer it except where the law allows;
- resell or provide the Service to others without our written permission.
Plans, Free Trial and Billing
Each workspace has its own plan. Current plans and prices (USD, plus any applicable taxes):
| Plan | Monthly | Yearly |
|---|---|---|
| Free | $0 | $0 |
| Starter | $9 | $97 |
| Essentials | $47 | $497 |
| Pro | $97 | $927 |
What each plan includes, including its limits on team members, clients, storage, invoices and proposals, is shown on the pricing page and the workspace's Billing page. The price shown at checkout applies.
- Free trial: the first time you choose a paid plan, you get a 7-day free trial. We ask for a card at checkout. Unless you cancel before the 7 days end, your subscription starts automatically and your card is charged the plan's price, then again every month or year, depending on what you chose, until you cancel. You won't be charged if you cancel during the trial.
- Automatic renewal: paid plans renew automatically every month or every year, and we charge your card through our payment processor, Stripe, at the start of each billing period until you cancel. Your plan, price and renewal date are always shown in the workspace's Settings → Billing.
- Cancelling: the workspace owner can cancel online at any time in Settings → Billing, or by emailing support@thriveific.com. Cancelling stops future charges, and the workspace keeps its plan until the end of the period already paid for, then moves to the Free plan. Your records stay, but features and limits beyond the Free plan stop working.
- Refunds: payments aren't refunded for partial periods, except where the law requires it. If you believe you were charged in error, email us within 30 days and we'll look into it.
- Price changes: we'll email the workspace owner at least 30 days before a price change takes effect on your subscription, so you can cancel if you don't want to continue.
- Failed payments: if a payment fails, we may move the workspace to the Free plan's features until it's paid.
- Changes to plans: we may change what the Free plan includes. We'll tell you before a change that affects you.
Our Intellectual Property
Thriveific, its software, design, logos and the content we create belong to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your business while you follow them. They don't give you any other rights to our brand or software. If you send us feedback or suggestions, we may use them without owing you anything.
The Mobile Apps
Your use of the Thriveific iOS app is also subject to Apple's Licensed Application End User License Agreement, and the Android app to Google Play's terms. These Terms are between you and Thriveific, not Apple or Google. Apple has no obligation to provide support or maintenance for the app and isn't responsible for any claims relating to it. Apple and its subsidiaries are third-party beneficiaries of these Terms for the iOS app and may enforce them. You confirm that you are not in a country under a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.
Third-Party Services
Thriveific relies on other companies' services, such as Stripe for payments and Google Firebase for sign-in and file storage. Your use of them may also be subject to their terms. We're not responsible for websites or services we link to but don't run. We don't control email delivery or Stripe's decisions, such as holds, payout timing or account reviews, and we're not responsible for losses they cause, including an email or reminder that arrives late, lands in spam or doesn't arrive.
Ending Your Use
You can stop using Thriveific at any time. The workspace owner can delete a workspace from its settings, and you can delete your account from your Account page or by emailing support@thriveific.com. Download any estimates, invoices and documents you need first. See the Privacy Policy for what happens to your data.
We may suspend or close an account or workspace that breaks these Terms, harms others or puts the Service at risk. Where reasonable, we'll tell you first and give you a chance to fix the problem. If we close a paid workspace without cause, we'll refund the unused part of the current period. If we stop offering the Service, we'll give you at least 30 days' notice so you can download your records, and refund any prepaid time you can't use.
Changes to the Service and These Terms
We're always improving Thriveific, so features may change. We may update these Terms. If we make a significant change, we'll tell you by email or in the app at least 14 days before it takes effect, unless the change is needed sooner for legal or security reasons. If you keep using Thriveific after a change takes effect, you accept the new Terms. If you don't agree, you can cancel and stop using the Service.
Disclaimers
We work hard to keep Thriveific available and accurate, but THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. We don't guarantee the Service will be uninterrupted or error-free, that the assistant's answers will be correct, or that a document will be enforceable. Thriveific isn't accounting, tax or legal advice. Keep your own copy of anything you can't afford to lose.
Limitation of Liability
TO THE EXTENT THE LAW ALLOWS, THRIVEIFIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE, COMBINED, IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AND $50. Some places don't allow these limits, so they may not all apply to you. Nothing in these Terms limits liability that can't be limited by law, such as for fraud or gross negligence.
Indemnity
If you use Thriveific for a business and someone brings a claim against us because of Your Content, your dealings with your clients, or your breach of these Terms or the law, you agree to cover our reasonable costs and losses from that claim. We'll tell you about the claim promptly and let you help defend it.
Governing Law and Disputes
These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-law rules. Before filing a claim, please email us at support@thriveific.com so we can try to resolve it informally within 60 days. Deadlines for bringing a claim are paused during those 60 days.
If we can't resolve it, any dispute will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable rules, including its Consumer Rules and mass arbitration rules where they apply. The hearing will be online, by phone or in Rock County, Wisconsin, and its location and fees will follow those rules. You and Thriveific each waive the right to a jury trial and to take part in a class action. Either of us may instead bring an individual claim in small-claims court, or ask a court to stop the infringement or misuse of intellectual property. Nothing here waives a right to public injunctive relief or any other remedy the law doesn't allow you to give up.
You can opt out of arbitration within 30 days of first accepting these Terms, or of accepting this version if you used Thriveific before it, by emailing support@thriveific.com with your name, your account's email address (if you have one) and a statement that you opt out.
If arbitration doesn't apply, and subject to any venue rights the law gives you, disputes will be heard in the Wisconsin state courts in Rock County or the United States District Court for the Western District of Wisconsin. If you live in a country whose laws give you the right to bring claims in your local courts, nothing here takes that right away.
General
These Terms and the Privacy Policy are the whole agreement between you and Thriveific about the Service. If part of these Terms can't be enforced, the rest still applies. If we don't enforce a term, that doesn't waive our right to enforce it later. You can't transfer these Terms without our permission. We may transfer them as part of a merger or sale of our business. Neither of us is responsible for delays caused by events beyond our reasonable control. We may send notices by email to your account's address or in the app, and you agree to receive agreements and notices electronically.
